You can upgrade just fine while keeping your files.

I suggest you don't yet.. many bugs still, especially poor performance on games. I'm waiting until SP1 to upgrade :)

those specs should do fine, especially if you're already planning a ram upgrade. i always prefer a clean install, but you'll want to consider what all you need to backup if you do that, whereas an upgrade probably won't necessarily knock out your current files and so on (but make a backup anyway!).

if you're upgrading, i do not think you need to format, but for a fresh install you will.
I would definatley recommend AGAINST upgrading to Vista at this time. It has so many bugs it is ridiculous. If I where you I would wait until they released the first service pack. It is a hog of an operating system. Your specs would be fine with about 2gb of ram. If you do decide to go ahead with it, I would refomart and go with a clean install. It is always the best and easiest way. It really is not very user friendly though. Read this:

Certain versions of Vista require a clean install for an upgrade.

There is a vista upgrade checker tool that will see if your pc is compatible. You will definitely want to get more ram.

The requirements for home basic:

# 1 GHz 32-bit (x86) or 64-bit (x64) processor

# 512 MB of system memory

# 20 GB hard drive with at least 15 GB of available space

# Support for DirectX 9 graphics and 32 MB of graphics memory

# DVD-ROM drive

# Audio Output

# Internet access (fees may apply)
you are good to go! it will run fine all but your ram and even that will work but not recommended. I would do a fresh install and format to get rid of the old garb and have it all new. i've read so much bad about vista and finally installed it a few days ago and i'm impressed, people are either installing it on systems that cannot handle it or they just have no clue what the hell they are doing, give them win 95 and they would still have problems! with your graphics card you should be alright and depending on your hard drive, xp pro sp2 consumes almost 3 gig and vista 8-12 gig just the os alone
